Terms of service
These Terms govern your use of Blacksmith. They're structured the way a normal commercial contract is — account, acceptable use, payment, warranties, limitation of liability, and so on — but written in plain English. If anything feels unfair, email us and we'll either explain or change it.
Agreement
These Terms of Service (“Terms”) form an agreement between you and Blacksmith, Inc. (“Blacksmith”) governing your access to and use of the Blacksmith platform, website, and related services (collectively, the “Service”).
By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization.
Your account
You're responsible for keeping your login credentials confidential and for activity that happens under your account. Workspace owners are responsible for managing the access and roles of their workspace members.
You agree to provide accurate information when registering and to keep that information up to date. We may suspend accounts that we reasonably believe to be fraudulent or violating these Terms.
Acceptable use
You agree not to use the Service to:
- Send unlawful, harassing, or unsolicited bulk email outside what your jurisdiction allows.
- Violate the terms of any connected third-party service (e.g. LinkedIn, Ionos, Resend, OpenAI).
- Reverse-engineer, copy, or resell the Service or its underlying models.
- Upload data you don't have the right to process.
- Probe or attack our systems outside our published responsible-disclosure policy.
We reserve the right to suspend or terminate accounts that violate these acceptable-use rules, with notice where practical.
Customer data
You retain all rights, title, and interest in and to your customer data. You grant us a limited license to process that data solely to provide the Service to you (including routing it to AI providers you've enabled in Settings).
We do not sell customer data, do not use it to train third-party models, and isolate it per workspace using database-level row-level security.
Subscription & payment
Paid plans are billed in advance on a monthly or annual basis. Fees are stated on our pricing page and may be updated with at least 30 days' notice before your next renewal.
You can cancel at any time. Monthly plans end at the next billing date. Annual plans can be prorated against the unused months on request.
Pass-through costs (for example, Ionos domain registrations) are billed at cost and itemized on your invoice.
Trials
We may offer a free trial of the Service. Trials are limited to one per organization unless otherwise stated. We may end or modify trials at any time and reserve the right to refuse trials we reasonably believe are abusive.
AI-generated output
Blacksmith uses AI to score leads and generate outbound drafts. AI output is provided as a starting point for a human operator and may contain errors. You're responsible for reviewing AI output before acting on it — sending email, contacting a prospect, or recording a sales decision.
We don't guarantee that AI output is accurate, complete, or appropriate for any particular use. Compliance with applicable laws (anti-spam, marketing, data protection) remains your responsibility.
Third-party services
The Service integrates with third-party services (HeyReach, Ionos, OpenAI, OpenRouter, Resend, Supabase). Your use of those services is governed by their own terms. We're not responsible for the availability or behavior of third-party services beyond our reasonable control.
Warranties & disclaimers
The Service is provided “as is” without warranties of any kind, except as expressly stated in a separate written agreement. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Blacksmith will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability for any claim arising out of these Terms is limited to the amounts you paid to Blacksmith in the 12 months preceding the event giving rise to the claim.
Indemnification
You agree to defend, indemnify, and hold harmless Blacksmith from any claim, demand, or expense (including reasonable attorneys' fees) arising out of (a) your customer data, (b) your use of the Service in violation of these Terms, or (c) your violation of applicable law.
Termination
You may stop using the Service at any time. We may suspend or terminate your account if you materially breach these Terms and do not cure the breach within 30 days of notice. We may immediately terminate accounts for serious violations (e.g. fraud, security misuse).
On termination, we retain your customer data for 30 days and then hard-delete it from production within an additional 30 days, as described in our Privacy Policy.
Changes to these Terms
We may update these Terms from time to time. We'll update the “last updated” date at the top of this page and, for material changes, give workspace owners at least 30 days' notice before the change takes effect. Continued use after that date constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in the State of Delaware, unless we agree in writing to a different venue.
